Partner Program

Partner Program terms

These are the commercial terms of the EvaAI Partner Program, in full. They govern the two models, the percentages, the steps, the billing and the exit.

Version 3, November 6, 2026. This version changes how long the Referido model pays: a four-step ladder by cartera activa, from 12 months per account up to as long as the client keeps paying. The Referido commission also stays at 20% with no Plus level, and the Socio 35% applies from $100,000 MXN. For partners accepted before this version, what version 2 promised is kept: their accounts already registered keep their conditions, no partner drops a level because of the threshold change for 12 months, and those two changes, plus the 30 days of notice and the payout calendar, apply from January 7, 2027 or from when they accept this version in the portal, whichever comes first. Everything else applies from the date of this version. These commercial terms govern the Program; the EvaAI Partner Agreement governs the remaining legal conditions. The Spanish version is the one that governs.

1. Definitions

Partner: the individual or company, in any country, accepted by EvaAI into the Program.

Socio: the per-account model in which the partner sells, implements and supports the account.

Referido: the per-account model in which EvaAI invoices the account and implements and supports it, unless the partner implements and supports it (section 8).

Account: the Eva account contracted by an end client and linked to a partner.

Cartera activa: the sum of the monthly list price of the plan of each active account linked to the partner in both models. An account is active when it has paid its current period. Own use and add-ons (extra credits, top-ups and phone numbers) are excluded. A catalog plan always counts at its monthly Mexican peso list price, even when the account pays annually or in dollars. A negotiated plan counts at what it pays per month (an annual fee divided by 12), converted to pesos at the exchange rate of the day of the calculation if it pays in dollars.

List price: the current public price of the Eva license, before tax, in the currency EvaAI charges that account in (Mexican pesos or US dollars).

License: the plan's monthly or annual fee, including its extra seats and extra agents.

EvaAI services: assisted implementation, custom development and any one-time charge that is neither license nor usage.

Opportunity registration: a partner's registration of an opportunity, with its model and expiry. Under Socio it requires evidence. Under Referido the contact handed over is enough.

Contact handed over: the name of the business, the name of the person who decides and their phone number, handed to EvaAI by the partner.

Evidence: a demo that was run or a proposal that was sent, dated and attached to the registration.

Step: the band of cartera activa that sets how many months a Referido account pays and the Socio license percentage.

Window: the months during which a Referido account generates commission, counted from its first payment.

Own use: an account contracted for the partner's internal use.

Demo account: a free account for the partner's tests, with test data and no real channels.

Negotiated plan: a plan outside the public catalog, quoted by EvaAI.

2. The two models

Every partner can hold both models. The model is chosen per account when the opportunity is registered.

The Referido model is open to any person or company in any country. The Socio model is offered by invitation.

3. Opportunity registration

A registration lasts 90 days. Under Socio it requires evidence. Under Referido the contact handed over is enough, and the registration counts from the moment EvaAI receives it. It can be renewed once for another 90 days if the partner documents the next step. The first valid registration wins. If EvaAI already had an opportunity open with that client on an earlier date, that date prevails and EvaAI tells the partner the same business day. There is no cap on registrations.

Existing EvaAI clients cannot be registered. Outside a valid registration, whoever closes the sale invoices it. Two valid registrations on the same client cannot coexist: the second one is rejected and is only told that the client already has a valid registration, without disclosing another partner's data. An EvaAI client can be a partner and refer other businesses. Nobody is compensated for their own account or for a company they own or hold a stake in: that is own use.

4. Percentages and steps

The cartera activa is computed on the first day of each month, sums both models and excludes own use and add-ons. Each step applies from its cartera amount. On reaching a higher step the partner moves up immediately. The partner moves down only after three consecutive monthly snapshots below the current step, and then to the step its cartera qualifies for.

Under Referido the percentage is the same at every step; the step sets the window of each account. On moving up, the new window applies from that moment to every active Referido account of the partner. Moving down never shortens the window an account already had. A new account gets the window of the current step at its first payment.

The license includes the extra seats and extra agents, which pay the same percentage as the plan.

5. Price to the client

Eva's license is always sold at list price. The client sees the public plan name in their panel. The partner's own services are priced freely and separately. Charging above or below the license list price is cause for immediate termination.

6. Billing

Under Socio, the partner is EvaAI's customer. They pay by card in Stripe, receive a monthly CFDI per account issued to their RFC at the wholesale price, and invoice the license to the end client.

Under Referido, EvaAI charges the client. The statement closes on day 1 of each month, covers the month that just ended and stays visible in the portal. The partner uploads its receipt to the portal by day 10 and EvaAI pays on day 15 of that month, by bank transfer, PayPal or another method agreed with the partner. A receipt received after day 10 is paid on day 15 of the following month. EvaAI sends the full amount; whatever the partner's platform or bank charges to receive it is the partner's cost.

Compensation is computed before tax, only on money actually collected, and is paid in the currency the client paid in. If the partner cannot receive that currency, EvaAI converts it at the exchange rate of the day of payment and shows it on the statement. An annual contract collected within the window generates its whole compensation when it is collected. An account that cancels stops generating compensation and stops counting in the cartera activa. A refund or chargeback deducts the compensation that payment generated.

Outside Mexico, a statement is paid once it reaches at least 50 US dollars, or 1,000 Mexican pesos if it is in pesos. A smaller balance carries into the next month and is never lost. In Mexico there is no minimum.

7. Receipts and taxes

In Mexico, the partner issues EvaAI a CFDI for the amount of the statement if they can issue one; if they cannot, they sign a simple receipt. Outside Mexico, the partner hands over a simple receipt or invoice with their name, country and amount. Each party is responsible for its own taxes in its own country. These terms create no employment, agency or representation relationship between the partner and EvaAI.

8. Implementation and support

Under Socio, the partner implements and supports the account. If an account is not live within 30 days, EvaAI implements it and the account moves to Referido terms. An account is live when it has an active agent and a connected channel.

Under Referido, EvaAI implements and supports the account, unless the partner creates the account, implements it and supports it. In that case the license pays 30% instead of 20%, at any step, for as long as the account stays live and the partner supports it. If the account is not live within 30 days, or the partner stops supporting it, EvaAI supports it and the license goes back to 20% with the window of its step, counted from its first payment. Add-ons, negotiated plans, EvaAI services and own use keep their terms.

The client may move to a direct relationship with EvaAI at any renewal, without giving a reason. From that moment the partner stops earning on that account.

9. Own use and demo account

Own use is contracted at list price and stays out of the cartera activa. The demo account is free, capped at 300 credits per month, uses test data only and cannot connect real channels.

10. Changes to the program

EvaAI will announce changes to the Program 30 days in advance. A change applies only to accounts registered after it takes effect, in both models; never to accounts already registered or sold. If the steps change, no partner drops a step because of that change for 12 months.

11. Termination

Closing the Program or terminating without cause requires 90 days notice and leaves a 12-month tail for eligible accounts. On a voluntary exit, Socio accounts move to direct at the end of their paid period and there is no tail. Referido accounts keep their compensation until their window is complete.

Termination for cause is immediate. Cause includes over-pricing or under-pricing the license, fraud or breach. EvaAI pays what has already been earned. If a client cancels and returns within six months, they remain with the same partner.

12. Brand and confidentiality

The brand must visibly show “Powered by EvaAI”. The Program is not exclusive. Client data may only be used for the authorized commercial and operational relationship.

13. Relationship with the Partner Agreement

This document governs the commercial terms of the Program. The EvaAI Partner Agreement governs the remaining legal conditions.

EvaAI may assign these Terms and the Partner Agreement, with all their rights and obligations, to a company it incorporates or controls, with written notice to the partner. The assignment does not change the conditions in force.
